TORONTO, ON / ACCESSWIRE / June 1, 2023 / Signal Gold Inc. ('Signal Gold' or the 'Company') (TSX:SGNL)(OTCQX:SGNLF) is pleased to announce that it has completed the second tranche of a non-brokered private placement previously announced on May 4, 2023 and updated on May 29, 2023 (the 'Offering'). Pursuant to the second tranche of the Offering, the Company issued 3,983,124 flow-through Units ('FT Units') of the Company at a price of $0.32 per FT Unit for aggregate gross proceeds of $1,274,600.
The gross proceeds from the second tranche Offering will be used to advance exploration activities at the Goldboro Project, including ongoing drilling to the west of the Goldboro Deposit. Each FT Unit consists of one common share and one-half of one Warrant. Each Warrant entitles the holder thereof to purchase one common share of the Company (a 'Warrant Share') at a price of $0.45 for a period of 18 months following the closing date. The Warrants contain an acceleration clause whereby, after the expiration of the statutory hold period, if the common shares of the Company trade at a volume weighted average price of $0.75 or more for 10 consecutive trading days, the Company has the right to accelerate the exercise period to a period ending at least 30 days from the date that notice of such acceleration is provided to the holders of the Warrants.
All the securities sold pursuant to the second tranche of the Offering are subject to a hold period which will expire on October 2, 2023, in accordance with the rules and policies of the Toronto Stock Exchange ('TSX'), and applicable Canadian securities laws. The Offering remains subject to the approval of the TSX.
